Associate Attorney - Corporate & Securities job available in the Roseland, NJ area. Job duties incl: Perform a variety of duties to provide legal svcs focusing on corporate & securities law. Specific duties incl: Regularly engage w/ clients such as boards of directors, mgmt teams, special committees &/or other public & private co. executives or organizational leaders to dvlp & deliver strategic guidance on matters concerning corporate governance, incl, disclosure reqmts, corporate law compliance, investor relations, whistleblower & other policies, & fiduciary duty obligations. Support Sr. attorneys in complex mergers & acquisitions & other corporate transactions, incl cross-border matters. Conduct legal research focusing on federal & NY & NJ state corporate law. Draft transactional docs such as stock transfer agreements & securities offering memoranda. Coord due diligence & manage deal-rltd case files. Assist w/ investment advisory matters for both domestic & int’l matters & collaborate w/ foreign counsel, incl in Canada. Support client communications & ensure matters progress efficiently & in accordance w/ firm stds. Perform similar, rltd tasks as needed. Reqmts: Must have a Juris Doctor (JD), Master of Laws (LLM), or foreign equiv. Must have at least 3 mos of exp as a lawyer or in an unlicensed legal support role working in investment fund formation & compliance. Must be admitted to the New York Bar or New Jersey Bar.
