Job Description: We are seeking a highly motivated, responsive and detail-oriented Business Transactional Attorney to join our legal team. The ideal candidate will have 2-3 years of experience drafting, reviewing, and negotiating a variety of corporate and commercial agreements. This role requires exceptional analytical skills, a strong work ethic, and the ability to manage multiple priorities in a fast-paced environment. Fluency in English and Spanish (both written and spoken) is a mandatory requirement for this position.
Responsibilities:
Draft, review, and negotiate a wide range of transactional documents, including but not limited to:
Asset purchase agreements
Stock purchase agreements
Joint venture agreements
Commercial contracts (e.g., vendor agreements, service agreements, licensing agreements)
Corporate governance documents (e.g., bylaws, operating agreements, resolutions)
Financing documents
Real Estate documents
Conduct due diligence for corporate and real estate transactions.
Provide legal advice and guidance on corporate law matters to internal stakeholders or clients.
Assist with corporate restructurings and reorganizations.
Work on estate planning, probate, and intellectual property matters.
Ensure compliance with relevant Texas and federal laws and regulations.
Manage and prioritize multiple projects with competing deadlines.
Communicate effectively with clients, opposing counsel, and internal teams.
Maintain organized and accurate legal files and records.

Requirements
Qualifications:
Juris Doctor (J.D.) degree from an ABA-accredited law school.
Active license to practice law in the State of Texas is required.
2-3 years of demonstrable experience in transactional corporate law.
Mandatory: Bilingual proficiency in Spanish (reading, writing, and speaking).
Exceptional attention to detail and accuracy in all legal work.
Strong analytical, research, and problem-solving skills.
Excellent written and verbal communication skills in both English and Spanish.
Ability to work independently and collaboratively within a team environment.
Proven ability to manage a high volume of work and meet deadlines.
Professionalism, integrity, and a strong ethical compass.
Proficiency in legal research platforms such as Westlaw and Microsoft Office Suite.
Preferred Qualities/Skills:
