Provide legal svcs in connection w/ structuring, formation, regulatory compliance, transactions, investments & reorganizations for retail alternative investment products. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 2 yrs of exp: representing asset mgrs or other large sponsors in connection w/ complex retail fund formation & compliance matters, incl structuring, exemptive relief & co-investments; & providing legal svcs in connection w/ various types (i.e. listed or non-listed; closed-end or open-end; perpetual or finite term) & structures of registered retail fund products, incl registered investment companies, bus. dvlpmt companies, real estate investment trusts & operating companies. Exp must incl: drafting fundamental fund docs, such as the prospectus, investment mgmt agreement, board resolutions, compliance reports, subscription docs, & service provider contracts; & handling compliance, governance, regulatory filings, & rltd routine matters for regulated funds under the securities laws, in particular the Investment Company Act of 1940. Must be licensed to practice law in NY. Qtrly domestic travel (5% of schedule) reqd to attend industry conferences, client events & travel for bus. dvlpmt. $260,000/yr.
