Description

CrossCountry Consulting is searching for a Commercial Contracts Attorney to provide hands-on counsel to all levels of the executive team. This is a newly created position due to the growth of the firm and its complexity. This person assists in protecting the organization's legal interest and maintaining its operations within the scope established by law. The Commercial Contracts Attorney provides third-level contract review, assists in business negotiations, identifies and analyzes legal issues, drafts key documents, presents clear recommendations to top management, and ensures privacy compliance.

Responsibilities:
    • Research, analyze and keep current on legal issues and laws, legislation, regulations, and court decisions affecting the consulting industry, and advise management about any impact to the business
    • Review, draft, and negotiate professional services agreements and contracts with third parties and vendors, to include but not limited to master service agreements (MSA), statements of work (SOW), data processing agreements (DPA) and licensing/vendor arrangements.
    • Interpret and explain contract terms and conditions to internal stakeholders and confirm that these transactions are in compliance with the organization's structure, policies, and procedures
    • Establish, define, and refine our legal processes and best practices while providing guidance and counsel to management on business transactions and initiatives
    • Advise and counsel internal teams with respect to the legal policies, risks, and the legal implications of proposed transactions or projects, while maintaining open communication and good working relationships
    • Collaborate with outside counsel and internal business clients to share best practices, implement risk management strategies, craft negotiation strategy, and follow corporate directives, policies and procedures
    • Partner with internal stakeholders to ensure that contract templates and agreements contain adequate data privacy-related terms and assist with contract negotiations generally
    • Implement and review standardized policies, protocols, and training programs in compliance with data privacy laws


Qualifications:
    • Juris Doctor and Bar admission in good standing to practice law in a US state jurisdiction
    • 5+ years of legal experience, whether at a law firm, in-house, or a combination of both
    • Proficient understanding of business sensitivities and confidentiality and the ability to resolve and handle difficult negotiations and issues with tact and diplomacy
    • Ability to self-motivate and work individually, as well as with a team
    • Strong time management skills to manage contract volume and project workflows
    • Ability to multitask and work across multiple projects simultaneously


Preferred Qualifications:
    • Knowledge of global privacy laws, regulations, standards, and related regimes including but not limited to CCPA and GDPR
    • Familiarity with contract management software, such as DocuSign, Icertis, Ironclad, Agiloft, ContractWorks or other similar programs
